Terms of Use

1. General Provisions

1.1 Purpose of the Document. These Terms govern the relationship between the client (hereinafter referred to as the "User") and NETWALL (hereinafter referred to as the "Provider") in the context of providing virtual (VPS) and dedicated server rental services, as well as any related solutions and services.

1.2 Acceptance of Terms. By using the Provider's services, the User acknowledges that they have read, understood, and unconditionally accept these Terms and all applicable NETWALL policies. Disagreement with any provisions excludes the possibility of using the services. Continued use of the services after any changes constitutes full and unconditional acceptance of the revised Terms. The Provider may terminate or refuse to provide services without explanation or notice.

1.3 Updates to Terms. The Provider reserves the right to make changes to these Terms without prior notice. Continued use of the services after such changes constitutes the User's acceptance of the new version.

1.4 Purpose of Use. Services are provided for lawful use, in compliance with applicable laws and these Terms. Any use that violates these requirements is prohibited.

1.5 Monitoring and Oversight. The Provider has the right to monitor service usage and suspend or terminate services if violations of the Terms are detected.

1.6 Users. A User is any individual or legal entity that has entered into an agreement or placed an order for the Provider's services.

1.7 Personal Data. The processing of personal data is carried out in accordance with the Provider's Privacy Policy, which the User must review before using the services.

2. Intellectual Property Rights

2.1 General Provisions. All materials related to the provision of NETWALL services, including but not limited to technical documentation, software, server configurations, texts, graphics, logos, images, videos, and other intellectual property (hereinafter referred to as "Materials"), are owned by NETWALL or used legally.

2.2 Copyrights. NETWALL materials are protected by copyright law and international agreements. Any copying, distribution, modification, publication, or other use of the Materials without prior written consent from NETWALL is prohibited. Unauthorized use may result in civil, administrative, or criminal liability.

2.3 Trademarks. All trademarks, logos, trade names, and other brand identifiers used in the services are the property of NETWALL or third parties who have granted rights to their use. Using such elements without the consent of the rights holder is prohibited and may constitute a violation of intellectual property rights.

2.4 Usage Restrictions. Users may use the Materials only within the scope of NETWALL services. Copying, modifying, distributing, reproducing, or publicly using the Materials, except as expressly permitted by law or agreement, requires prior written consent from NETWALL.

2.5 Liability for Violations. In case of infringement of intellectual property rights, NETWALL reserves the right to take all legal measures, including filing claims, seeking damages, and applying other sanctions.

2.6 Third-Party Materials. If third-party materials are used in the provision of services, NETWALL guarantees lawful grounds for their use. Users are prohibited from removing or altering copyright, license, or other rights notices.

2.7 Violation Notifications. If a User believes that their intellectual property rights have been violated in the course of NETWALL services, they may submit a notification specifying the facts of the violation, contact information, and supporting documents.

3. Use of Services

3.1 Lawful Use. Users agree to use NETWALL services only for lawful purposes and in accordance with these Terms. Any actions that may infringe the rights of third parties, cause damage to equipment, software, Provider infrastructure, or other clients are prohibited.

3.2 Age Restrictions. NETWALL services are intended solely for individuals who are at least eighteen (18) years old. Registration, use, or access to services by individuals under 18 is prohibited and constitutes a violation of these Terms.

3.3 Prohibited Actions. The following actions are strictly prohibited and may result in immediate termination of services without refund:

  • Sending spam, mass unsolicited messages (including email spam), and other forms of abuse of communication channels.
  • Distributing malicious software (viruses, exploits, botnets, spyware, ransomware, etc.).
  • Hosting, storing, or distributing illegal or prohibited content, including:
    • Child pornography (including lolicon, shotacon, and other forms),
    • Materials containing sexual violence, incest, bestiality, necrophilia,
    • Extreme violence, dismemberment, guro,
    • Materials featuring models appearing under 18 years of age,
    • Content justifying or promoting violence, human trafficking, exploitation, or other illegal acts.
  • Participation in DDoS attacks, botnets, test attacks on one's server, or using servers to organize such attacks.
  • Conducting network scanning, brute-force attacks, spoofing, vulnerability testing or exploitation, or interfering with networks or systems.
  • Hosting websites or services aimed at fraud, phishing, data theft, pyramid schemes, or financial scams.
  • Selling, transferring, or otherwise disposing of accounts on financial, governmental, or other protected resources.
  • Installing or using prohibited pentesting or remote administration tools (e.g., Cobalt Strike, Metasploit) without written permission from the Provider.
  • Sale, distribution, or promotion of narcotics, psychotropic substances, their analogues, or precursors.
  • Attacks on government, commercial, or other organizations, undermining their integrity or security.
  • Activities inciting national, religious, racial, or other hatred, as well as extremist or terrorist actions.
  • Actions that may result in IP addresses being blacklisted (SpamHaus, SpamCop, etc.), including spam, phishing, or abuse.

3.4. User Responsibility. The User is fully responsible for all content, software, settings, traffic, and any actions performed on the rented server, whether carried out by the User or third parties. In the event of violations of the Terms, causing damages to NETWALL, IP address blocking, or claims from government authorities, regulators, or third parties, the User agrees to compensate all incurred NETWALL expenses, including direct and indirect losses, lost profits, reputational damage, legal fees, and infrastructure restoration costs. NETWALL reserves the right to unilaterally suspend, limit, or terminate services and delete User data without the possibility of recovery.

3.5. Exceptions in Case of Hacking. In cases where prohibited content or activity on the server is a result of hacking, exceptions may be made provided that:

  • The User immediately notifies NETWALL of the issue.
  • All necessary measures are taken to eliminate the threat.

3.6. Restriction and Termination of Access. NETWALL reserves the right, at any time, without prior notice and without explanation, to suspend, limit, or permanently terminate services for a User if it determines that their activity poses a threat to infrastructure, reputation, security, or violates the Terms of this agreement. NETWALL is not required to provide time to remedy violations and may delete User data without recovery. NETWALL’s decision is final and not subject to appeal.

3.7. Sanctions Restrictions. NETWALL does not provide services to individuals or organizations under sanctions imposed by the UK, EU, US, or other regulatory authorities.

3.8. Automatic Blocking. In cases of particularly severe violations (including, but not limited to: participation in DDoS attacks, distribution of child pornography, fraud, storage or distribution of malicious software, terrorism, extremism), services are blocked immediately and without the possibility of recovery, regardless of account status or prepaid period. All payments, including those for unused periods, are non-refundable.

4. Service Orders and Activation

4.1. Service Activation. NETWALL services are activated only after full and successful payment by the User.

4.2. Right of Refusal. The Provider reserves the right to refuse service activation without explanation if the order may violate laws, security policies, or pose a risk to infrastructure and clients.

4.3. User Responsibility. The User must provide accurate information when placing an order. In case of inaccurate data, the Provider may suspend or cancel service activation.

5. Payment Policy

5.1. Prepayment for Services. All NETWALL services are provided only with full prepayment. The User is responsible for timely payment.

5.2. Consequences of Late Payment. Services may be automatically suspended or terminated without notice for late payment. Full settlement of outstanding payments is required for restoration.

5.3. No Payment Reminders. The Provider is not obligated to send payment reminders. Responsibility for monitoring payment deadlines lies with the User.

6. Refund Policy

6.1. Refund Conditions. Refunds are possible only in cases of:

  • Technical impossibility to activate the service due to the Provider's fault;
  • Order cancellation before service activation.

6.2. Refund Method and Fee. Refunds are made to the original payment method with a 10% processing fee.

6.3. No Refunds. Refunds are not provided in cases of Terms violations, abuse, service suspension, data deletion, partial use of the service, or service termination by NETWALL for any reason. All payments, including those for unused periods, are non-refundable. The User waives any claims against NETWALL related to service termination.

7. User Obligations

7.1. User Obligations. The User agrees to use NETWALL services lawfully and in accordance with these Terms. The User must refrain from actions that violate the rights, interests, or security of NETWALL, other clients, or third parties.

7.2. Responsibility for Service Use. The User is fully responsible for their actions and content hosted on rented servers and within provided services. Use of services for fraudulent, illegal, or prohibited purposes is strictly forbidden.

7.3. Compensation for Damages. The User agrees to indemnify NETWALL, its employees, partners, and representatives from any claims, losses, or expenses, including legal costs, arising from the User's violation of these Terms, illegal actions, or infringement of third-party rights.

7.4. Measures for Violations. In case of violations of these Terms, NETWALL reserves the right to suspend, limit, or terminate services for the User without prior notice. The company may also take other measures to protect its interests and the interests of other clients.

8. Company Liability

8.1. General Provisions. NETWALL undertakes to provide server rental services and related services in accordance with these Terms, ensuring high quality, availability, and support.

8.2. Accuracy and Relevance of Information. The Company strives to ensure the accuracy and relevance of the information provided to clients. However, NETWALL does not guarantee absolute completeness or error-free materials and is not responsible for possible mistakes or omissions.

8.3. Service Continuity. NETWALL aims to provide stable and uninterrupted service. However, the company reserves the right to temporarily suspend services for maintenance, updates, or other purposes aimed at improving quality and security.

8.4. Data and Infrastructure Security. NETWALL applies modern measures and technologies to protect data and infrastructure from viruses, attacks, and other threats. However, the company cannot guarantee absolute security when transmitting data over the Internet.

8.5. Service Changes. NETWALL reserves the right to change, update, or remove service content, as well as suspend or terminate services at any time to improve quality and comply with legal requirements.

8.6. Disclaimer. NETWALL is not liable for any losses, damages, data loss, reputational or economic losses resulting from the use or inability to use services, or actions of the User or third parties. NETWALL’s maximum liability to the User for any reason is limited to the amount actually paid by the User for the last paid month of service.

8.7. Termination of Agreement. In the event of termination of cooperation, NETWALL maintains its reputation as a reliable provider and remains open to feedback for further improvement of service quality.

9. Limitation of Liability

9.1. General Provisions. NETWALL makes all reasonable efforts to ensure the relevance, accuracy, and reliability of the information provided within its services. However, the company does not guarantee completeness, accuracy, or timeliness of the data provided and is not responsible for it.

9.2. Use of Information at Your Own Risk. All information, technical documentation, and materials provided by NETWALL are provided "as is" without any warranties. The User assumes all risks associated with the use of the services and information provided.

9.3. Disclaimer of Warranties. NETWALL does not guarantee uninterrupted or error-free operation of services and is not responsible for any failures, errors, or interruptions that occur during the provision of services.

9.4. No Liability for Damages. NETWALL is not liable for any direct, indirect, incidental, punitive, consequential, or other damages of any kind, including lost profits, data loss, reputational or other economic losses, resulting from the use or inability to use the services. The User unconditionally waives any claims against NETWALL related to the provision or termination of services.

9.5. Third-Party Resources. NETWALL is not responsible for the content, availability, or functionality of third-party resources that the User may access through the provided services or links.

9.6. Technical Risks. The User is responsible for securing their devices, credentials, and data, as well as using antivirus software and other protection measures when working with NETWALL services.

10. Disclaimer

10.1. Content Disclaimer. All materials provided by NETWALL are informational and should not be considered as guarantees or obligations. Use of the information is at the User's risk.

10.2. Technical Failure Disclaimer. NETWALL does not guarantee constant availability of services and is not responsible for temporary unavailability or technical issues.

10.3. User Decision Disclaimer. NETWALL is not responsible for the consequences of User decisions made based on the information or services provided. The company does not control User actions and does not guarantee specific results.

11. Dispute Resolution

11.1. Applicable Law. All disputes, disagreements, or claims arising from or in connection with the use of NETWALL services, including their interpretation, performance, or breach, are governed by the law of the country of NETWALL’s registration without regard to conflict-of-law rules.

11.2. Pre-Litigation Resolution. Before applying to courts, the parties agree to attempt to resolve the dispute through good-faith negotiations. The parties must make all reasonable efforts to resolve the dispute amicably within 30 days from the date the disagreement arises.

11.3. Mediation. If the dispute cannot be resolved through negotiations, the parties may agree to mediation involving an independent mediator. Mediation can be conducted at an agreed location or online.

11.4. Arbitration. If the dispute is not resolved through negotiation or mediation, it shall be settled by arbitration according to the rules of the chosen arbitration institution. The arbitration decision is final and binding on both parties.

11.5. Jurisdiction. If arbitration is not possible or the parties do not reach an agreement, disputes are resolved in the courts of the country of NETWALL’s registration. The parties acknowledge the exclusive jurisdiction of such courts.

11.6. Exceptions to Arbitration. Disputes related to the infringement of intellectual property rights, including copyrights, trademarks, and patents, may be brought to court for temporary or preliminary judicial relief.

11.7. Dispute Resolution Costs. Each party bears its own costs related to dispute resolution, including court fees and arbitration costs, unless otherwise determined by a court or arbitration decision.

11.8. Severability. If any provision of this section is found to be invalid or unenforceable, the remaining provisions remain in full force and effect.

11.9. Confidentiality. All parties must maintain confidentiality throughout the dispute resolution process, including negotiations, mediation, and arbitration, except as required by law or necessary for court proceedings.

11.10. Continuing Effect. This dispute resolution agreement remains in effect even after the User stops using NETWALL services.

12. Changes to Terms of Use

12.1. Right to Modify. NETWALL reserves the right to make changes, additions, or updates to these Terms of Use at any time at its discretion. Such changes may relate to service updates, legal changes, or other factors.

12.2. Notification of Changes. NETWALL may notify Users of changes in one or more of the following ways:

  • Publishing the updated Terms on the official website;
  • Sending an email notification if the User has provided an email address;
  • Posting a relevant message on the website homepage or in the User’s account dashboard.

12.3. Effective Date of Changes. Updated Terms take effect upon publication unless otherwise stated in the notification. Continued use of services after the changes indicates the User’s acceptance of the new Terms.

12.4. User Responsibility. The User is responsible for independently monitoring updates to the Terms of Use. NETWALL is not responsible for consequences resulting from the User’s unawareness of changes.

12.5. Transfer of Rights and Obligations. NETWALL may transfer its rights and obligations under these Terms to third parties at any time without the User’s consent. The User may not transfer their rights and obligations under these Terms without NETWALL’s written consent.
